I believe that the directors selling shares off market also allows new cornerstone investors to compete in the SPP. Directors already have a massive stake in their Company and more than likely couldn't possibly afford to exercise all shares due to them under the SPP. This is a much better way to achieve controlled participation, cornerstone get their cop and the underwriters get to divi up the remainder all the while keeping dilution of our company to a minimum. Tightly held company!
