I am not aware of any set of performance targets so can't check against them
approved by shareholders sounds nice but the gang itself is the major shareholder and will out vote the rest with no problem
also there is the audit committee but it consist of the gang themself

so

the majority of the shareholders (the gang) issue shares/options/bonus to the directors (the gang) and the audit committe (the gang) will audit themself checking against non-existing performance targets

apart of that all is ok, shareholders approved and checked by the audit committee and satisfying performance targets, sounds very nice
