Just thinking how would this be played in court. The court may have to order a psycho to dig out what’s in the heart of the director during the trial. And while doing that form of psychological surgery, the court will also ask for all email exchanges between the directors on PW. These are all stored in the servers or tapes of the IT service provider for telcos, so wiping them out from one’s pc won’t work.

They would have to somehow find that email stating “dear fellow directors, I’ve been coveting PW for a year and I’m glad you finally spoke up from what you know in your mind and heart that PW is indeed a very desirable tenement”. .......would be interesting what the court will say. The court would demand proof that during those meetings of the BOD to discuss PW, the other directors have had a selected amnesia of what they read from the confidential info from VMC. ‘I solemnly declare that while sitting at the board meetings, I’ve extricated from my mind all the things ive read or that have come to my attention about PW’.
......not sure if that’s how it works but I know one has to exclude himself from deliberations of a proposal if he has come into possession of information illegally to be considered in the proposed deal.

If I were spx and I knew I have a very strong position, I would shit my mouth and shoot Vmc with all my bullets at the hearing.
