You should read the Explanatory Material especially from page 6 - the section on "(c) Exclusivity and Restrictions" - last I saw conditions like those they were part of WES's takeover of KDR (and in my opinion most of those commenting on the KDR message board didn't understand that they meant that the board had effectively tied its own hands against better offers as part of the price of securing the current one).
