it doesn't have to be a holder. any brokerage house can lend those shares without the knowledge of shareholder. did you not read the fine print?
yes all companies know their major shareholders and monitor their trades. But they will not be able to say that Ms XYZ has given her shares for shorting. doesn't work like that
