I'm really just showing my ignorance by saying this, but I thought the IP acquisition was done a long time ago. Why has it taken 7 months for the details of the deal to be published?! At the time it was announced, I recall the $1 buyback option being a bit suspicious. But I don't recall a gazillion performance shares being tied to it. Instead some statement about significant commercialisation of the IP. Suspicious, but not ridiculous.
I know it's not this simple, but 800M shares at the current price has the Talico assets at $6.4M - with no evidence of their value.
There's something not quite right about a CEO negotiating an acqusition deal with a vendor who happens to be himself, and then simply presenting it to the shareholders as a take it or leave it scenario. What, is he going to take his bat and ball and commercialise the tech elsewhere?
As for the performance milestones, the revenues listed seem a little low in my view. They're at a point where it's black or white, that either TV2 is successful at bringing in some real income and the whole amount gets issued (dilution), or if we don't see those amounts then it's struggle street all the way down the gurgler. Either way, the risk is on us while this guy continues to draw a very large salary.
