Our FMS Board borrowed from the majority shareholder and tripled our debt to our majority shareholder so that a business deal with the majority holder could be financed, promoted, encouraged by the Board with the aim that the deal be supported by minority shareholders - and yes - because of conflict of interest the majority holder can't vote but it seems the majority holder doesn't have to say anything ...
Of course I may have read this wrong, so please allow for that, but I still feel this is worthy of a report to an agency just on the off-chance that my reading of this is correct.
Not enough separation - I'm having trouble seeing the wood for the trees.
