I assume your not joking, so...
PErformance...ie the SP has to get to 75c before they actually get entitlement the shares.
I did suggest that they should not be free, regardless of reaching the performance benchmark, but that was probably a little optimistic on my part (if I were a director, I'd make them free too lol).
