    $6.4mil is totally misleading.

    less terms of the termination deed:
    - equity based early termination fee 11.5mil shares
    - cash payment $2mil

    less offer cost:
    - $195,000
    don’t have time to check but I think this is just for SPP, does not include placement costs.

    less interest and fee adjustment
    - $165,000

    ....and other miscellaneous costs.
