Non-Renounceable Pro Rata Rights Issue
The Directors of Solagran Limited are pleased to announce a Non-Renounceable Pro Rata
Rights Issue of a new series of $0.30 Contributing Shares payable $0.10 on Application,
$0.10 on 30 November 2009 and a final payment of $0.10 on 30 November 2010.
Details of the Issue
Ordinary shareholders will be entitled to acquire one new $0.30 Contributing Share for every
ten ordinary shares held, payable $0.10 on application and two further calls of $0.10 on 30
November 2009 and 30 November 2010.
Existing Contributing shareholders (SLACF) will be entitled to acquire three new $0.30
Contributing Shares for every 40 Contributing Shares (SLACF) currently held, payable $0.10
on application and two further calls of $0.10 on 30 November 2009 and 30 November 2010.
Based on the ordinary shares and contributing shares currently on issue this would raise
$2,067,437 in Applications if fully subscribed, and a total of $6,202,310 if the new
Contributing share issue is fully subscribed and paid up.
The Rights Issue will not be underwritten but Directors will retain the right to place any
shortfall.
Solagran will apply to the ASX for official quotation of the $0.30 Contributing Shares.
Use of Funds
Solagran has chosen to raise additional funds from shareholders to offset the impact of the
falling Australian Dollar on the cost of completing the Tomsk production facility.
Solagran has also identified two potential acquisitions proceeds from the issue may be used
for the evaluation and possible acquisition of these targets, with any balance being employed
as working capital.
The Company will release further details of the Rights Issue shortly, including the timetable
of dates, after approval by the ASX.
