Thats true, but in recent take overs in the Australian gold space, if management gave the green light it proceeded at the offer price.
EAR is a prime example, some small investment houses tried to form a blocking stake unsuccessfully,
the takeover proceded at the offer price at the disgust of the general shareholder.
