I reckon if @vooose can deliver a full funding package on terms equal to or better than the the Pareto notes + equity piece with the only condition being a change of management, he should approach the company with the offer...
Other than that if any party wants to change the direction of the company in terms of management and plant and equipment, they should buy 50% of the shares to obtain the necessary voting rights to do so.
