Think about it like this:
Everyone just invested at $1.05 through a CR.
Why would anyone want to pay more than what most people just paid?
You also have a slight dilution of shares through CR.
You have also just set a precedent that the company will engage in CR's on high share prices.
Those are some reasons, besides charting why the current price is precarious.
