speculating here but ...
Jinan support the financing and will throw weight behind TON. before made official want to ensure that some outsider will not come in with an offer that will get control over mine.
so to prevent this risk Jinan wants (I) the takeover barrier clause and (II) the ability to issue additional shares to a friendly stakeholder to ensure there is 50% voting block against even the most lucrative takeover bid.
if you are about to lay down $60m plus in a loan it would make sense.
