    The board has so far acted quite poorly. This, however, is disgraceful.

    There are a number of documents (such as the PFS) that were to be delivered, the last we heard this was to occur at the end of May 2020.

    There has been a serious lack of continuous disclosure by the company. The deficiency in good governance has been amplified by the fact of Aurenne's take over offer. Due to the serious and price sensitive lack of disclosure the BoD are, on the face of it, liable to be sued, by shareholders and (should ASIC take interest) by ASIC.

    The board of ARS have failed to provide documents essential to shareholders being able to properly understand, let alone vote, on Aurenne's proposal. However, the real failure has been in their lack of communication and disclosure of information under the ASX listing rules.

    The fact that the BoD are requesting shares is unbelievable.

    I suggest people consider:
    - not giving a proxy vote to the Board;
    - voting against giving the Board members free shares;
    - requesting updates from the Board regarding all outstanding documents; and
    - (strongly) their legal rights and appetite for a legal fight.
