    As the big majority of shareholders don’t know anybody who will attend the meeting who is also not a shareholder, by default most of those not attending will appoint the Chairman of the Company to act as proxy.So… who is the Chairman of SF1? It’s our old friend Tim Grice, director and shareholder of the Company, associate of the major shareholder Tony Grist and promoter of the resolutions most of us little holders are trying to reject.Do we trust this guy?

    The Chair at the general meeting is entitled to decide whether to conduct the voting by show of hands rather than through a poll. There have been cases int he past where a Chairman decided to proceed with a show of hands, as he was aware (being the company already in possess of the proxy forms) that casting votes with a poll would have given an outcome opposite to his view.

    Voting with a show of hands basically gives power of vote to those attending the meeting and it may not represent the real intention of the majority of shareholders, as for many reasons small/medium investors may not be able to attend the meeting. That’s why is important that all those living in the city where the meeting will be held(Perth at the moment) participate to this event.FOR YOUR INFORMATION, LAST MEETING WAS HELD ON A SHOW OF HANDS!!Should we not make it to the meeting, is there a way to call a poll anyway?

    YES!! It simply takes 5shareholders to call for a poll or 1 shareholder holding at least 5% of the shares. So, while your attendance is important at the meeting (so that we maybe a majority also on a show of hand), an alternative could be to let your proxy know that in case the majority on show of hands vote in opposition to your view, you intend to call a poll.This way we will be able to rectify any “mistake” that could “accidentally” happen while the voting takes place, making sure the votes represent the majority’s will.At the current day we are not aware of who will be the Chairman of the meeting, therefore if you can’t be there and need to appoint the Chairman as proxy, just make sure that you also let directors know of your will to call a poll, should the show of hands not be favorable to what seems to be the majority's will.

    As every resolution can be voted on show of hands or by poll, you need to specify which ones you want to call a poll for.
