True - but a lucrative price offer could sway the management - especially if they end up being taken on by the purchasing organisation.
In the end, management will look after themselves as we all know. If the offer price is high, they will also need to demonstrate that they are working in the interest of shareholders. Most shareholders will only see the money if this ends up as a Disallowed offer.
