The matters of concern were the physical lock-out of one director from his office which was sub-let from Jervois, the locking of the share register to the former company secretary and continuing director. Another concern was the failure to produce accounts when requested. These are matters included in an affadvit delivered to the Federal Court on Tuesday.

Whether the attempt to use economic duress against a director to force a resignation is "improper conduct" under the Corporations Act depends of course on the totality of circumstances but prima facie this would appear to be a breach of the Act. Similarly, the denial of company accounts to a director appears to be a breach.
