    Hi E

    Thanks.

IMO the company can easily meet the requirements for the Global and Capital markets on more than one of the four requirements.

IMO, with some creative structuring/accounting they could meet standard 4 of the Global Select market. This requires a market cap of $160m.

You always want to list on the highest possible tier. This adds credibility and appeals to a greater investor base.

If GMV is within striking distance of the global select market then IMO I would assume they will do everything they can to get there.

The bid prices are meaningless because the company will need to do a share consolidation either way. Why do the minimum? I used $20 in my example because it's much higher than the $4 which gives you plenty of breathing space. Also, physiologically a high share price will appeal to more investors. Get out of the penny dreadful range.

It looks like this is all going to happen very quickly. IMO all shareholders want to see this succeed. All BOD and senior managers hold a lot of stock. Most have only ever been paid in stock. It's in everyone's best interest that company lists on the Nasdaq. No one wants this unlisted for longer than it needs to be.

IMO given Yacov's age, he doesn't have the time to take this private for a few years and then come back for a listing. IMO he must be very confident of a higher valuation and would have already lined investors up to help mitigate this risk.

I will be interested to see how this share sale facility will
work? Who will underwrite and at what price? Will it be Fosun and Boustead as principle or on behalf of investors? Will it be Yacov to try and maintain 51% control m? Could it be Regal? Could it be a new US based strategic investor?

Also, can anyone clarify if the OTC listing will remain? I can't find any comments from the company.
