There is also a 50% requirement of all shareholders by headcount who vote (not by holding size) to vote FOR the resolution.
@Carles - assume Thorney get to 20%, this requires 60% of the shareholder register to vote FOR the resolution to neutralise their position.
As Schmucky posted, that's 60% of the remaining 80% to vote FOR the resolution.
~30% (incl Abtourk) are the Board and management. That's half the votes required.
50% of the shareholder register has turned over since the bid. Assuming that the majority of these buyers are for the arbitrage (Thorney increased their stake a little so remove them), the weight of numbers look supportive for the deal.
