If I understand this correctly, both Mark and Mike are giving themselves a loan to buy 100m shares. If the SP tanks then they sell the shares and any shortfall is cancelled.
But if the SP goes up then they get to keep any profits.
There is also a requirement for some of the shares that Hadrian needs to operate for one hour in the next three years at 3000SBE lay rate.
It's absolute snouts in the trough stuff causing further dilution and eroding possible gains for long term holders. This stock is a retail nightmare, the only winners are going to be those close to the directors but the losers will be everyone holding stock.
