If you accept you do have an embedded option on the extra $0.05 if they get to 90%, vs selling on market and getting say $1.355 or $1.36. Depends on your view of how likely they are to get to 90%.
There is also a small timing advantage of selling vs. accepting -- ie. assuming they go unconditional tomorrow, you would have to wait 5 days vs. 3 days for the cash. Probably not a big one.
