If it was mutually respectful then a new CEO would have been announced at the same time that the retiring CEO stepped down. Standard practise.
If you were a retiring CEO leaving on great terms wouldn't you be mindful to leave the company in a great position and wouldn't you have been looking for a replacement for the last 6 or so months to ensure a smooth transition?
Give thought to the fact that the company doesn't want to create a legal problem for themselves and the release was passed by lawyers before being released.
Time to be honest and take off the blinkers.
