placing - general meeting

Can someone explain to me how the placing at US0.145 which included a waarant is a good thing if it was not offered to current shareholders at the same time? I'd like to have participated but not given the opportunity and our holdings have been diluted (with more to come it seems). Sorry but I am a newbie and thinking of voting against the resolutions at the general meeting...
