Although the asx has the final say as to whether an announcement is market sensitive, when a company submits an announcement, it indicates whether it is market sensitive or not. Usually the asx just follows suit. I'm showing my age here, but when all we saw of company announcements was a copy of the fax sent, you could actually see where the company marked it as market sensitive or not.

Re the exercising of options, this is not considered buying or selling of shares, so it not subject to the normal protocols where the directors might have privy information. The Directors have no choice, if they want to exercise, they have to do this by June 30, no matter what is happening, or what information they are privy to.
