Our hope lies in the institutional investors who have put this deal together to vote "no". With a whole lot of small investors also voting "no", it might just be rejected.
If that is the case, then a number of things normally happen.
a) The board offers it's resignation as it now does not have the support of shareholders and
b) The CEO moves on as that person is also tainted with the decision.
c) The alternate proposal is then reconsidered and accepted (as there is no other).
Sounds like a win/win to me.
