It's so the sophisticated investors are getting their shares cheaper who are doing the underwriting agreement. Why would they pay 6c or above when they can just push the share price to 5c and get less people exercising options so they get cheaper shares for the big dogs. After they have their shares at 5c when options expire the share price will rise as they will want to make some $$
