I agree its a bit confusing. HGO acquired their shaerholding as payment for ESG's share of the leases .. that were in fact originally owned by HGO. So it was done I expect by ESG issuing new shares. that is somehow different to another party acquiring those shares later. As you say .. there are examples of companies owning more than 20% but not being required to make a takeover offer ... Shell and WPL come to mind (Shell has had 34% of WPL for 10 years). Then again .. they DID offer to takeover WPL and were knocke dback by the government!
