So directors who own millions of dollars worth of shares and could have made a tidy profit think that it was not a compelling offer? And thy know a lot more about the company than most shareholders.
Ultimately, any shareholders that did not sell when the offer was first announced also thought that the offer price was not compelling - otherwise they would have sold!
