Employee incentive plans (EIP) get approved by shareholders at AGMs usually. You can go back through past AGMs with ESG for the info.
Certain ASX listing rules do allow for a company to issue shares to employees under an EIP without shareholder approval - but they can't be directors. Peter is. Ashley is not.
