I agree with you that 'Vision is key' assuming all board members share that vision for that is what drives a business to actually achieve the Vision.
The director you are palming off that Dorian is concerned about does not share the same vision as Wayne, he is very focused on a quick takeover, I witnessed this with my own eyes at a luncheon and the friction between Wayne and him was obvious.

Having said this: Remember ABC learning? Eddy the milkman was king when the stock ran to $15 while every other stock was crashing. Well, CDC listed as a competitor and Andrew Peacock was a non-exec and it failed dismally. I developed the opinion that everything he was involved in failed. Anyway, many years later along comes a stock that shot into record highs at 60 cents, yes, it was FMG (current share price $200 approx. ignoring the 10:1 split) and guess what - Andrew Peacock was on the board, so I didn't buy it. Conclusion...he got rich and retired...I didn't.
