I'm not to sure if it will apply in this case as he is not purchasing any shares on market but rather exercising his options. He has exercised today as it was his last chance to do so before he is no longer a director. Had he been staying on with SDL than he could have exercised at a later date (after a JV for example) and still purchased at 10c no matter how high the SP went.
