Can someone share the blue ocean term sheet use of funds for kaddy split? Was this publicly available or accessing via institution?

on one note I do wonder what is the overlap in tech platform. Kaddy has their integrated system for suppliers. Given wine depot has always spruiked there's I presume one or the other will continue to exist in the long run so would this acquisition be somewhat overpaying as you partly are paying for platform technology which wine depot supposedly upsells as key to suppliers and buyers already. If you co exist two diff platforms then I do wonder if that also makes logical sense (if you get what I mean).

the saving fact is product mix is quite different. Beers and spirits etc do hopefully less cross overlap. Shame if retail holders get shafted with only 2m.
