In your scenario, someone could have taken a short position on the based on the original 'under promise' and have been financially harmed by the effect of an 'overdeliver'.
So if the a law firm made the case that the company 'ought to have known' that its results would be better than originally forecast that company would potentially have to payout to shorters as a result of its success.
