Are we currently in Roadshow mode or finished Roadshow?

I have been investigating the SEC procedures and timelines for registration.

In this document see link.......View page here

"Depending on the length of time between amendments, financial statements and other information
included in the registration statement may need to be updated to reflect subsequent periods. Certain
information, such as estimated pricing of the IPO and related disclosures, may not be known as of the
initial filing date and therefore is not added until a later amendment.
    However, the SEC expects each
draft of the registration statement to be substantially complete at the time of its submission, unless
there are specific accommodations for omitting otherwise required information.

Once all the staff’s comments are cleared, a company will typically print a preliminary prospectus,
commonly referred to as a “red herring,” and go on a “road show” to meet with and present to
prospective investors. After the road show, the company and its counsel may request that the SEC
declare the registration statement “effective” at a certain date and time, after which the securities will be
registered and, if listed on an exchange, begin trading"

The Amended Form F1/A did have some estimated pricing included which was NOT in the initial filing.

"Our ordinary shares are listed on the Australian Securities Exchange under the symbol “IHL.” On September 27, 2021, the last reported sale price of our ordinary shares on the Australian Securities Exchange was A$0.355 per ordinary share, equivalent to a price of US$12.93 per ADS, after giving effect to the Australian dollar/U.S. dollar exchange rate of A$1.00 to US$0.7284 (as published by the Reserve Bank of Australia as of September 27, 2021), and an ADS-to-ordinary share ratio of 1 to 50. For the purposes of this preliminary prospectus, the estimated initial public offering price is US$12.93 per ADS."

    > Once all the (SEC) staff’s comments are cleared ( THIS COULD BE COMPLETED )
    > a company will typically print a preliminary prospectus, commonly referred to as a “red herring,” ( THIS COULD BE COMPLETED )
    > and go on a “road show” to meet with and present to prospective investors. ( THIS COULD BE NEARLY or COMPLETED )
    > After the road show, the company and its counsel may request that the SEC declare the registration statement “effective”
    > at a certain date and time
    > after which the securities will be registered and, if listed on an exchange, begin trading

    We could expect Forms

    1. 424B4 - Prospectus Supplement to be submitted by IHL advisors/representatives with the agreed pricing (after roadshow feedback)
    2. Notice of Effectiveness published by the SEC

All within days after Roadshow is being completed.

It's all clear as mud isn't it. LOL cool.png

A share price appreciation in the 5 days leading up to the date of issue may be an ominous sign something is about to become "Effective"
maybe ....could be . we'll see.... ?? ( did some comments say yesterday "it feels like the hand brakes off now?")

    Good luck all wink.png
