Because you develop a reputation for being a soft target desperate for money.
Im all for engaging with every insto that wants to be part of the journey, but this discount and perks up front approach that AVR is doing sets the wrong tone. I would much rather have them in for the long haul, so adjust the options accordingly. If the company needs $5M/10M put it out to retail investors absolutely no problem in getting that or more, start engaging in a way that gives clarity to both timelines and likely success of AVROs and any material risks to them hitting strike price.
If insto's want in and they cant get it on market, it means the shares are a scarcity. So why isnt that scarcity being leveraged? our tech and prospects are good, we are a textbook takeover target... we don't need to play nice. We owe these people nothing and these insto's will cut our throat if they see enough of a margin in it.
