I'm trying to put some context on the 8% royalty capped at $7.8m. The BOD consider this immaterial, but 8% is a material percentage. To hit the cap, this would require $97.5m of revenue/sale but the agreement would be material.
There must be a reasonable expectation the potential revenue/sale generated on success is greater than $260m, otherwise, the royalty agreement would have to be considered material.
