Look at the hand written statement I provided a link to. Whatever Simpson has in his address the written statement is unequivocal- no mention of "president". If he resigned as president in a formal address that may confuse the matter but it could be argued (although again I'm no lawyer), that he resigned from BOTH positions- the directorship in the hand written resignation and the presidency in the formal address.
I refer to the statement of claim only where it quotes other documents. I haven't sighted those documents and I'm guessing neither have you, however, it's fair to assume that the lawyers who drafted the document have. While I'll take the conclusions derived from those quotations as interprative, the actual quotations I'll take as fact. I'm guessing just like you didn't look at the link to Simpson's resignation letter, you didn't look at the paras in the SoC either or you'd have seen that for yourself. Instead you dismissed it out of hand.
I offered you documents to comment on and you chose not to because they fail to support your take on this whole thing. Go back and check the facts. Then tell me the hand written letter doesn't say "director" not "president". Tell me that the CER document (that's Circumpacific's code BTW), doesn't contravene the Joint Agreement. You can't because I am merely stating facts, facts which go directly against the case you're trying to maintain.
Your document shows Simpson making a publiv ststement that he resigns as president. The one I directed you to shows he ALSO resigned as a director.
The CER document shows that it, under Simpson's leadership, is breaching the agreement quoted in the statement of claim.
So, over to yoy. Explain how the hand written document DOESN'T say "director" or admit I'm right. Similarly explain how the CER document doesn't show it has breached the Joint Agreement or admit I'm right. If you have access to a copy and can show that the quote is out of context I'll admit I'm wrong but prima facie, it's pretty obvious.
