They get your shares and you get either shares in the company buying ICI, cash or a combination.

I reckon it would have to be a very hefty premium though before the big shareholders would agree. There are three ways a takeover can unfold, a company makes an off market bid or they make an on market bid (both require 90% before they could move to compulsory acquisition of the remaining shares) or they could make a bid via a scheme of arrangement, which would require a shareholder vote and they would need 75% or more to vote in favour of the takeover.
