takeover, not a merger!!, page-2

Interesting considering the friendly $1 per shareholder handshake but with Gordon's shareholding it is a takeover.
Are they covering themselves against the 90% acceptance requirement not being achieved?
A 1 for 1 rights issue could be done but it would only provide enough capital for a few years including start up costs imo.
