Mate, I just wanted to better understand how the earn out mechanism works to factor that into my valuation model.
It is quite obvious we are missing some info on that arrangement because 22.5% of MC c.$600m today is better than 10% of a potential $1b MC.
It can't be possible that PA and whoever else is holding a stake in Puna (I just referred to him as I guess he will be the largest holder in Puna apart from AGY itself) get a worse deal when achieving S3 operations.
The shareholder agreement could contain a retainer clause, a balancing mechanism, who knows.
I thought it was a fair question but it seems you all don't know the answer/don't find it relevant for your own valuations. Good on you.
