Anyone who has ever worked on a M&A deal knows that it is hard and complicated work. The company has no obligation to make any announcement if discussions are ongoing.
Given the time since the initial announcement my guess is that they are also working on a sale of the commercial finance business simultaneously. That does not breach exclusivity with LFS but does add another layer of complexity.
