    I highly doubt the BOD has interest selling at 11.5,
    and they expect shareholders to vote against the offer

    so why except pfizers offer?

    in exchange resapp receives:
    1. $3M
    2. pfizers stamp of approval, which is priceless
    3. global advertising
    4. interest from other buyers
