    What makes you think that your "rational brain" is correct? Putin is using his "rational brain". The rational brain is not the brain. What happens if Pfizer up their offer to 21 cents after the "fair assessment" report is released and 4 weeks before the yes/no vote? Ask your rational brain that question. In this case all the rational thinking you have come up with goes out the window. This is a chess game so try to think 13 moves ahead...How many would vote no at 23 cents? How many would vote no at 65 cents? It is game on...Pfizer don't play to lose they own the space (and the FDA) OK?
    So my opinion is Pfizer (in the absence of a competing offer) will actually up their offer somewhat depending on the fair value assessment (any amateur value assessors out there care to estimate fair value...after quarterly of course) which will tend to split our vote...how much depends on how much they increase their bid for RAP.
    However if we vote no then what? Are they allowed to come back with another offer? If so how long before they are able to do this? No may not be the end of Pfizer...after several months of research (they have already looked under the RAP hood IMHO) Pfizer may say hey...that offer of 11.5 cents was then but now after researching more we are willing to take you out at 42 cents. That would draw a line through the No votes IMHO. Our strategy should not include the thought that the BOD is acting in our best iterests by accepting the 11.5 cents offer whilst all the while believing we will vote NO. Most of these situations (I am told) fall to a yes vote...keep that in mind not the nice thoughts about the BOD of RAP.
