Actually, you're paying in stock, not cash. 0.98 Z1P per SZL share. There's roughly 200m SZL on issue, so at current prices, somewhere closer to $250m. The deal is contingent on a lot of things though, including a limit on how much capital SZL can raise. If it raises too much, then the deal is up for renegotiation and is part of the reason SZL is trading quite a bit less than 0.98*Z1P. The merger proposal docs have all the details on the conditions.
