    It comes down to how many holders vote (head count), and how many shares (votes).

    In order for the scheme of arrangement to pass the YES vote must represent at least half of the holders who vote, and at least 75% of the votes.

    So if a total of 10 holders vote and 6 of them to vote NO then the proposal fails regardless of the number of shares and we keep ResApp.

    But if only 5 vote not then it comes down to the number of shares. And if the 10 hold 1 million shares between them then the 5 who vote NO have to own more than 250,000 shares If the YES voters have 750,000 or more then they win.

    If you want numbers for absolute certainty, page 60 of the annual report from last August gives the breakdown of shareholders and number of shares:
    1. There were about 7,300 shareholders so if we got NO votes from 3,700 holders or more then the no vote would definitely win.
    2. And there were 860 million shares so as long as the owners of 215 million shares voted no they couldn't lose.

    But as explained above, only actual votes/voters are counted.
