Why would you buy ZIP when you can buy SZL at 30% discount?, page-15

I wasn't trying to put forward a bullish thesis. Just stated that the merger makes sense. At current prices they are paying just over $200M for SZL and based on EBTDA benefits they put in the announcement the investment will pay itself off within 5 years (if not sooner).

So as per my comments above, there won't be a shareholder revolt from ZIP to the deal and neither from SZL. So what merger agreeement condition is there that justifies such a discount? That's the question. Happy to hear you answer it but please try and stick to the point. If I'm interested in just negative zip opinions then I can click on any other zip thread. Let's try and keep this one somewhat relevant and helpful.
