The Dathcom JV Shareholders Agreement is the agreement and contract between the named shareholders. This will be the primary contract that the set out conditions need to be met before they are then carried out in accordance with whatever the provisions of the relevant law are. AVZ saying the conditions of the shareholding agreement haven’t been met to trigger a sale event to anyone yet….and therefore if there are laws as you state then they haven’t been triggered as of now as the conditions precedent haven’t been satisfied. So AVZ would be on solid ground stating they still retain first option on the 15% Cominiere equity and that’s why Zijin requesting arbitration external to DRC because they haven’t got the result they wanted inside DRC legal system. I doubt AVZ will agree to arbitration because they have no dealings with Zijin on which to arbitrate.
