mich, here is the relevant legislation:

scroll through the provisions until you reach those that lay out the process for shareholders calling extraordinary general meetings - or simply calling a meeting for that matter - note that a minimum number of shareholders are required to back the call for a meeting in order to compel the company to convene the meeting requested - thereafter follow the provisions that pretty clearly set forth how shareholders put forward motions and get them carried at said meetings - there are no hard and fast forms for doing all this, you just set it out as clearly as possible, citing which provisions of the legislation you are relying on, and pointing out to the company which provisions it is required by law to comply with and observe.

any collection of shareholders can do the above if there is a sufficient number of them - you just have to canvass opinion and get people and institutional shareholders signed-up to back you - it directly places power into the hands of shareholders in the event that the management of the company has gone off the rails - if they have performed poorly then you should have little trouble getting the numbers you need for forcing a meeting.

if you get stone walled by the company you choose to drop these provisions on, then ASIC or your State's Supreme Court are glad to lend a hand to compel any recalcitrant management IF you have dotted all your 'i's and crossed your 't's - and you don't have to be a lawyer to work this stuff out - I am, but I can tell you any one with half a brain and an ability to follow instructions (ir the legal provisions) can put these forms and the request together without too much fuss - helps to contact the company for a copy of the share register to, but working from your Top 20 Shareholders list and garnishing support and contacts via HC should get the necessary numbers to get you over the line, for compelling the convening of a meeting.

    good luck
