Exactly the problem. (you sometimes forget keith that other ppeople might be competent) They can't sell those shares they were given, but they still get taxed on their recent issue price of 76c. If they are worthless once the restrictions are lifted, they still have to pay the tax. All they will get is a capital loss. It probably means they are going to have to hedge by selling other unrestricted vti shares to put the money aside to pay the tax.
